Is the Corporate Transparency Act (CTA) Really Dead?

If you've been following the Corporate Transparency Act (CTA) saga, you're probably as exhausted as I am. First, we were told to file beneficial ownership reports or face penalties. Then, courts started issuing injunctions, deadlines shifted, and uncertainty grew. It felt like a never-ending game of "file or don't file."

But now, it looks like we finally have an answer—most U.S. businesses don't have to worry about the CTA anymore.

On March 2, 2025, the U.S. Treasury Department released a statement that functionally put the brakes on the CTA's enforcement. No penalties, no fines, no more looming deadlines. Even better, Treasury is planning to revise the rule so that only foreign reporting companies will be subject to it. So, What Does This Mean for Small Business Owners?

If you own a small business and were stressed about CTA compliance—take a deep breath. You don't need to file under the current rules, and the upcoming changes mean you likely never will. Treasury made it clear that U.S. businesses and their owners won't face penalties now or in the future under this revised approach.

Treasury Secretary Scott Bessent described this as a win for small business owners, saying it's part of President Trump's effort to cut unnecessary regulations. Whether you follow politics or not, it's hard to argue against fewer headaches for small businesses. 

But Is the CTA Really Gone?

Not exactly. The law itself is still on the books unless Congress repeals or amends it. However, with Treasury stepping back and shifting the focus to foreign entities, it's safe to say the CTA as we knew it is over. 

For now, U.S. business owners can breathe easy. No more scrambling to meet deadlines, no more fear of penalties. But it's still a good idea to stay informed—just in case the government changes course again.

So, after months of uncertainty, we can finally say it: Ding, dong, the CTA is (mostly) dead!
